These Terms and Conditions (“T&C”) govern the sale, licensing, and use of WordPress plugins developed by Upkyk, a company registered in the Netherlands.

By purchasing, downloading, or using any of our plugins, you agree to these T&C. If you do not agree, do not use the plugin.

Each plugin may include additional terms specific to its functionality and license, as outlined in the relevant sections below.

1. Emergency Manager Plugin – License Terms

When you purchase the Emergency Manager Plugin (“the Plugin”), you are granted a non-exclusive, non-transferable license under the following conditions:

• License Types:

  • Single-site License: Activation on one domain.

  • 5-Site License: Activation on up to five domains.

  • Unlimited License (Ultimate Edition): Activation on an unlimited number of domains.

• Prohibited Use:

  • You may not resell, redistribute, or share the Plugin with unauthorized users.

  • You may not modify and distribute a modified version of the Plugin as your own product.

  • You may not attempt to bypass the licensing system.

• License Validation:

  • A valid license key is required to receive updates and support.

  • The Plugin collects license key and domain installation details for validation purposes only.

2. Payment & Subscription Terms

  • Payment is due in full before downloading the Plugin.

  • Licenses include 1 year of updates and support, after which renewal is required.

  • Ultimate license holders receive lifetime updates but must renew support separately.

3. Support & Updates

  • Support is only provided for active license holders.

  • Priority Support is exclusively available for Pro (MU) and Ultimate license holders.

  • Plugin updates include bug fixes, security patches, and feature improvements.

  • Support does not cover issues caused by third-party plugins, themes, or hosting configurations.

4. Refund Policy

Since the Plugin is a digital product, refunds are generally not offered once it has been downloaded and activated. However, refunds may be considered in the following cases:

  • Before activation: If you have not yet used your license key, you may request a refund within 5 days of purchase.

  • Technical issues: If the Plugin fails to function as advertised and our support team is unable to resolve the issue.

  • No refunds after activation & usage: If the Plugin has been installed on a domain, no refunds will be granted.

5. Plugin Liability & Compatibility

  • The Plugin is designed to be lightweight and follows standard WordPress coding practices.

  • However, Upkyk is not responsible for any conflicts with third-party plugins or themes that may cause issues.

  • Users are responsible for testing the Plugin on a staging environment before using it on a live website.

  • In no event shall Upkyk be liable for direct, indirect, incidental, or consequential damages arising from the use of this Plugin.

6. White-Labeling

  • White-labeling (removal of Upkyk branding) is only permitted for Ultimate license holders.

  • Users on other license tiers may not remove or modify Upkyk branding within the Plugin.

7. Fair Use Policy

  • Each license is valid for the number of domains stated at purchase.

  • Abusive behavior, such as attempting to bypass domain limits, will result in license suspension without refund.

8. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these T&C shall be resolved in the Dutch courts.

9. Upkyk Assistant AI Plugin (Free & Pro)

a. Product Overview

Upkyk Assistant AI is a WordPress plugin that provides AI chatbot functionality powered by external AI services (e.g., OpenAI, DeepSeek).

A free version is available through WordPress.org, while a Pro version with extended features can be purchased via upkyk.com.

b. License Tiers & Duration

The Pro version is sold under two license types:

  • 1-Site License: Valid for activation on one domain.

  • 5-Site License: Valid for activation on up to five domains.

All licenses are valid for 12 months from the date of purchase and include plugin updates and support during that period. After expiration, users may renew their license for continued access to updates and support.

c. License Activation & Validation

Activation of the Pro version requires a valid license key. The plugin validates the key by securely sending the license and domain details to our licensing server. This data is used solely for validation and is not shared with third parties.

d. AI API Integration

Users must supply their own API key from a supported AI provider (e.g., OpenAI or DeepSeek). Upkyk is not responsible for the cost, performance, or data processing practices of these third-party providers.

e. Chat Data Handling

  • Messages are transmitted securely to the selected AI provider for processing.

  • In the Pro version, users may enable local storage of chat messages within their own WordPress database.

  • Upkyk does not access or collect chat messages from user installations.

  • When using the chatbot on upkyk.com, chat data may be stored temporarily to improve our service, as outlined in our Privacy Policy.

f. User Consent & Privacy Compliance

The plugin includes a built-in privacy consent popup for user interaction. However, it is the plugin user’s responsibility to ensure compliance with relevant data privacy laws (e.g., AVG/GDPR). This includes disclosing chatbot functionality in their site’s Privacy Policy and obtaining appropriate user consent.

g. Refunds

Refund eligibility for the Pro version of Upkyk Assistant AI follows the same terms outlined in Section 4:

  • Refunds are possible before license activation or in the event of unresolved technical issues.

  • No refunds are provided after the plugin is installed and activated.
